This case was developed to record the reform of corporate governance ICBC in banking sector reform in China. It describes the evolution of governance in China described the challenges facing leaders at all levels, the decisions taken and the results of these difficult decisions. Challenges and discussions are relevant for Western companies in terms of understanding the business structure adopted by major Chinese corporate governance. The success of the bank and its unique governance structure will bring a lot of inspiration from East to West. Learning Objectives: Participants can explore the different issues underlying the reform of the governance of ICBC. At the undergraduate level in a program of political economy, students can discuss the strategies involved in the transformation from a planned economy to a free market and the systematic design work required for economic reform. In MBA programs, participants can discuss issues related to the corporate restructuring, the structure of government, IPOs, and competitive strategy. The Executive and Council, participants can focus on the governance structure of the bank and the advantages and disadvantages of the system of ICBC. At the end of the class discussion, students will have gained an overview of working with large Chinese companies. They should be able to understand the problems of conflicts of interest between shareholders, directors, supervisors, team leadership, strategic investors, the Communist Party and regulators. They must also understand how these interest groups, in particular the incentives of each group of stakeholders, which are very different from those of the West. Participants will realize how corporate governance might be handled differently and how they could become complex. Debates are an opportunity for participants to reflect on the governance practices of the West and borrow elements that could be useful.
